The applications provided by Crispin Rhodes and any newsletters and other materials that you may receive from Crispin Rhodes as part of a Crispin Rhodes Service (collectively, "Crispin Rhodes Materials ") are the exclusive property of Crispin Rhodes. They are protected by copyright and other applicable laws.  The Crispin Rhodes Materials are for your own personal use, and you cannot copy any portion of the Crispin Rhodes Materials without the written permission of Crispin Rhodes nor can you distribute additional copies of Crispin Rhodes Materials to others.

Services available for use without charge (collectively, "Free Services") are subject to fair use and no contract will exist between Crispin Rhodes and a user for the provision or availability of these Free Services and no liability shall exist in respect of their use other than in conjunction with any specific help and advice given by Crispin Rhodes.

Discounts.   Crispin Rhodes may offer you various discounts, savings and other benefits on products or services of Crispin Rhodes or its affiliates.  Crispin Rhodes does not guarantee the availability of particular discounts, savings or other benefits on specific products or services, and any discounts, savings or benefits are subject to change, time limits and conditions as may be determined by Crispin Rhodes in its discretion from time to time. Exclusion/Limitation of Liability.  Crispin Rhodes publications, services and resources (collectively, "Crispin Rhodes Products") are provided for informational purposes only. What you achieve from your use of Crispin Rhodes Products depends upon your commitment to and effort in applying the information to your business and the circumstances or facts that apply.  There is a risk that you may not understand or appreciate the way certain circumstances may affect or impact upon the employment and legal situation and thus not adequately address it. We strongly advise that you obtain from us full and proper guidance and advice. You stand to lose perhaps many thousands of pounds if you do not have advice tailored to your circumstances.

To the maximum extent permitted by law and in respect of Crispin Rhodes Products, Crispin Rhodes' liability (if any) under this Agreement or otherwise is limited to the fee paid by you for Crispin Rhodes Products, and in no event will Crispin Rhodes be liable to you or any other person for any indirect, incidental, consequential, special, punitive or exemplary loss or damage, arising from, connected with, or relating to this Agreement, the subject matter of this Agreement, any Crispin Rhodes service or otherwise, under any theory of liability (whether in contract, tort, strict liability or any other theory or law or equity), regardless of any negligence or other fault or wrongdoing (including fundamental breach or gross negligence) by Crispin Rhodes or any person for whom Crispin Rhodes is responsible, and even if Crispin Rhodes has been advised of the possibility of such potential loss or damage being incurred.

Governing Law and Disputes.  This Agreement and all related matters will be governed by and interpreted in accordance with English and Welsh Law without regard to conflict of laws rules.  All disputes relating to this Agreement shall be resolved before a Court in England or Wales, and you hereby irrevocably submit to the jurisdiction of the said courts and waive any objection that you may now or hereafter have based on inconvenient forum for such proceedings.  Where applicable, the United Nations Convention on the International Sale of Goods will not apply to this Agreement.

Other Rights.  The exclusion or limitation of certain liabilities is prohibited by law in some jurisdictions.  Such limitations may apply to you.

Miscellaneous
  • The law and procedure which applies to human resources the subject of Crispin Rhodes Products is that of England and Wales. The law may well be different in other jurisdictions and any advice given is given on the basis that it applies only to human resources situated in England or Wales.

  • You represent that you are of legal age to enter into binding contracts under the laws of the jurisdiction where you reside.

  • If any provision of this Agreement is held to be invalid or unenforceable for any reason, then the provision will be deemed to be severed from this Agreement and the remaining provisions will continue in full force and effect without being impaired or invalidated in any way, unless as a result of any such severance this Agreement would fail in its essential purpose.

  • This Agreement sets forth the entire agreement and understanding of you and Crispin Rhodes with respect to the subject matter of this Agreement and supersedes any and all previous communications, representations, negotiations, discussions, agreements or understanding, whether oral or written, between you and Crispin Rhodes with respect to the subject matter of this Agreement.

  • All amounts are stated in UK Pounds Sterling.  Fees are exclusive of VAT and any other applicable taxes.
